Welcome to Invovate. These Terms of Service ("Terms") govern your use of our free invoice generator and API available at https://invovate.com (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

Invovate provides a free, web-based invoice generator and REST API that allow users to create, customize, and download professional invoices. The web app operates entirely in your browser. No registration is required for basic use. API access requires a free account.

2. Free Tier and Paid Plans

Invovate offers a free tier and optional paid plans:

  • Free — 40 API calls/hour, 400/week, no credit card required
  • Starter — 200 calls/hour, 4,000/week, $9/month
  • Pro — 1,000 calls/hour, 40,000/week, $29/month

We reserve the right to modify plan pricing, limits, or features with reasonable notice. Paid plans are billed monthly and can be cancelled at any time. Refunds for paid plans are issued at our discretion.

3. Acceptable Use

You may use the Service for any lawful commercial or personal purpose. You may not use the Service to:

  • Create fraudulent, false, or misleading invoices
  • Facilitate tax evasion, money laundering, or other financial crimes
  • Violate any applicable law or regulation in your jurisdiction
  • Attempt to reverse-engineer, scrape, or otherwise extract the underlying service infrastructure beyond normal API usage
  • Circumvent rate limits through multiple accounts or other technical means
  • Interfere with the availability of the Service for other users
  • Impersonate Invovate or any other person or entity

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

4. API Usage

API access is subject to the rate limits for your plan. Exceeding rate limits will result in 429 responses. Systematic abuse of rate limits, including through credential sharing or automation designed to circumvent limits, may result in account termination. You are responsible for keeping your API key secure. Do not expose your API key in client-side code or public repositories.

5. User Content and Intellectual Property

You retain all rights to the content you create using the Service, including invoice designs and business information. By using the Service, you represent that you have the right to use all information you input. Invovate does not claim ownership of your invoice content.

The Invovate service — including its design, code, templates, and features — is owned by Invovate and protected by copyright and other intellectual property laws. You may not copy, modify, or distribute the Service itself.

6. Tax and Legal Compliance

You are solely responsible for:

  • Ensuring your invoices comply with tax laws in your jurisdiction
  • Including all information required by law on invoices (VAT numbers, business registration numbers, etc.)
  • Maintaining proper records as required by tax authorities
  • Paying all applicable taxes on your transactions

Invovate provides tools and templates but does not offer tax, legal, or accounting advice. Consult a qualified professional for guidance specific to your situation.

7. No Warranty

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. Invovate does not warrant that:

  • The Service will be uninterrupted, error-free, or available at all times
  • Results obtained from the Service will be accurate or reliable
  • The Service will meet your specific requirements
  • Any errors will be corrected

8. Limitation of Liability

To the fullest extent permitted by applicable law, Invovate and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, resulting from:

  • Your use of or inability to use the Service
  • Errors or inaccuracies in invoice outputs
  • Unauthorized access to or alteration of your data
  • Any other matter related to the Service

In any event, Invovate's total aggregate liability shall not exceed the amount you paid to Invovate in the 12 months preceding the claim, or $100, whichever is greater.

9. Termination

You may stop using the Service at any time. We may suspend or terminate your access immediately, without prior notice, if you breach these Terms or if we discontinue the Service. Upon termination, your right to use the Service ceases immediately.

10. Changes to These Terms

We may modify these Terms at any time. If changes are material, we will provide at least 30 days' notice by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the new Terms.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of courts located in the United States.
